The documents for the New Zealand AIDS Foundation 2006 Annual General Meeting have been sent to members on Tuesday this week, Board of Trustees Chair Jeremy Lambert has announced. Information relating to the Foundation's constitutional review – the Working Group's Options paper, the Board's response and the voting forms are all included. The Board's response includes an independent legal opinion sought in relation to requirements imposed by recent changes to the Charities Act. From next February, the Charities Commission can deregister an organisation if it is deemed to be acting more with ‘political intent' than for charitable purposes. “This is a particularly important stage of the review. The Working Group has done a remarkable job developing constitutional options that represent the breadth of views held by both members and stakeholders,” said Lambert. “The Board has offered their collective opinion and we now need our members to vote to indicate what their constitutional preferences will be for a new Foundation constitution and/or trust deed,” he said.
